1) Agreement to Terms

These Terms of Use constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Yafperfume Trading L.L.C (“Company”, “we”, “us”, or “our”) concerning your access to and use of https://yafperfume.com/ and any related media form, media channel, mobile website, or mobile application linked to it (collectively, the “Site”).

We are registered in the United Arab Emirates and our business address is: 50 24 St - behind Bank Melli Iran - Deira - Al Sabkha - Dubai, United Arab Emirates.

By accessing the Site, you confirm that you have read, understood, and agreed to be bound by these Terms of Use. If you do not agree with all of these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.

• Your Contributions are not obscene, abusive, harassing, hateful, defamatory, or otherwise objectionable.
• Your Contributions do not violate any applicable law, regulation, or rule.
• Your Contributions do not violate privacy or publicity rights of any third party.
• Your Contributions do not include content harmful to minors or prohibited by law.

Any use of the Site in violation of the above may result in suspension or termination of your access to the Site.

10) Contribution License

By posting Contributions to any part of the Site, you automatically grant us a worldwide, non-exclusive, royalty-free, transferable, perpetual, irrevocable right and license to host, use, copy, reproduce, disclose, publish, display, translate, transmit, distribute, and otherwise use such Contributions for lawful business purposes, including marketing, promotion, and Site operation.

19) Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates.

Yafperfume Trading L.L.C and you irrevocably consent that the courts of the United Arab Emirates shall have jurisdiction to resolve disputes arising in connection with these Terms, subject to Section 20 where applicable.

20) Dispute Resolution

Informal Negotiations

To expedite resolution and reduce costs, both parties agree to first attempt to resolve any dispute, controversy, or claim related to these Terms informally for at least thirty (30) days before starting formal proceedings. Informal negotiations begin upon written notice from one party to the other.

Binding Arbitration (if applicable and enforceable)

Any dispute arising out of or in connection with these Terms may be referred to and finally resolved by arbitration in accordance with the terms below, if arbitration is valid and enforceable in the relevant circumstances:

• Arbitration forum: International Commercial Arbitration Court under the European Arbitration Chamber (Belgium, Brussels, Avenue Louise 146), under its applicable rules.
• Number of arbitrators: Three (3).
• Seat / legal place of arbitration: Dubai, United Arab Emirates.
• Language: English.
• Governing substantive law: Laws of the United Arab Emirates.

Restrictions

• Arbitration shall be limited to the dispute between the parties individually.
• No class-action or representative arbitration is permitted to the fullest extent allowed by law.
• No consolidation with other proceedings is permitted unless required by law.

Exceptions

The following disputes are not subject to the above informal negotiation and arbitration provisions:

• Disputes related to enforcement or protection of intellectual property rights.
• Disputes involving theft, piracy, invasion of privacy, or unauthorized use.
• Claims seeking injunctive relief.

If any part of this dispute resolution provision is found illegal or unenforceable, that part will not apply and the affected dispute shall be decided by a court of competent jurisdiction in the UAE.

21) Corrections

There may be information on the Site that contains typographical errors, inaccuracies, or omissions related to products, descriptions, pricing, availability, or other information. We reserve the right to correct such errors, inaccuracies, or omissions and to change or update information at any time, without prior notice.

22) Disclaimer

WE DO NOT WARRANT, ENDORSE, OR ASSUME RESPONSIBILITY FOR PRODUCTS OR SERVICES OFFERED BY THIRD PARTIES THROUGH THE SITE OR THROUGH LINKED PLATFORMS. YOU SHOULD USE YOUR BEST JUDGMENT AND CAUTION WHEN MAKING ANY PURCHASE.

23) Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL BE LIMITED TO THE LESSER OF: (A) THE AMOUNT PAID BY YOU TO US DURING THE SIX (6) MONTHS BEFORE THE CAUSE OF ACTION AROSE, OR (B) USD 100 (OR EQUIVALENT IN AED), EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.

Some jurisdictions do not allow certain limitations of liability. In such cases, some parts of this section may not apply to you.

24) Indemnification

You agree to defend, indemnify, and hold us harmless, including our affiliates, officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand (including reasonable legal fees) made by any third party due to or arising out of:

• Your breach of these Terms.
• Your breach of your representations and warranties under these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Any harmful act toward another user connected to your use of the Site.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense.

25) User Data

YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE.

To the extent permitted by law, you waive any rights requiring original signatures, paper records, or non-electronic payments/credits.

27) Miscellaneous

These Terms and any policies or operating rules posted by us on the Site constitute the entire agreement between you and us. Our failure to enforce any right or provision shall not operate as a waiver of that right or provision.

These Terms operate to the fullest extent permitted by law. We may assign our rights and obligations at any time. We are not responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be deemed severable and will not affect the validity and enforceability of any remaining provisions.

No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Terms or your use of the Site. You agree that these Terms shall not be construed against us by virtue of having drafted them.
